PUBLIC OFFER AGREEMENT

This Public Offer Agreement (hereinafter referred to as the "Agreement") constitutes a public offer by ConvoZen LLC, a company duly registered under the laws of the Republic of Armenia, registration number 273.110.1490063, having its registered address at Republic of Armenia, Yerevan 0009, Tumanyan St. 31, hereinafter referred to as the "Provider", to any individual or legal entity (hereinafter the "User"), collectively referred to as the "Parties", to enter into this Agreement under the terms and conditions set forth below.
1. Acceptance of the Offer
This Agreement shall be deemed concluded and legally binding upon the User's acceptance of this offer by registering an account on https://convozen.io or by accessing or using any of the Provider's services.
By accepting this offer, the User confirms that they have read, understood, and agree to be bound by all terms herein without reservation.
2. Subject of the Agreement
The Provider grants the User access to the ConvoZen Platform, an AI-powered inbox and CRM system for social networks that enables management, categorization, and automation of communications, subject to the selected subscription plan and applicable usage limits.
The Service may include free trial periods, paid subscriptions, and the ability to purchase additional AI or messaging credits.
3. User Registration and Account
To access the Service, the User must complete registration and provide accurate and current information.
The User is responsible for maintaining the confidentiality of their login credentials and for all activities conducted under their account.
The Provider reserves the right to suspend or terminate any account if fraudulent, misleading, or unlawful activity is detected.
4. Fees, Payments, and Refunds
Access to paid features of the Service requires timely payment of fees according to the applicable subscription plan or credit pricing displayed on the Provider's website.
Payments shall be made electronically through supported systems, in accordance with applicable financial regulations and AML/KYC procedures.
Fees are generally non-refundable, except in cases of documented technical malfunction directly attributable to the Provider.
Refunds or credits may be issued at the Provider's discretion upon verification of circumstances.
Prices and subscription terms may be updated from time to time and take effect at the next billing cycle.
5. Trial and Credit Terms
The Provider may offer a limited free trial for evaluation purposes.
AI and messaging credits purchased by the User are consumable units enabling premium AI responses or messaging. Unused credits may expire per disclosed terms.
6. Data and Privacy
The Provider collects and processes limited personal and account data solely to deliver and improve the Service.
The Provider handles User data per Armenian data protection laws and its Privacy Policy.
The User authorizes data processing via integrated APIs solely to enable intended functionality.
The Provider does not sell or disclose personal data to third parties except as required by law.
7. Intellectual Property
All intellectual property rights in the Service, including algorithms, design, and databases, belong exclusively to the Provider.
The User is granted a limited, non-exclusive, revocable license to use the Service solely for its intended purpose.
The User may not copy, modify, reverse engineer, or redistribute any part of the Service without written permission.
8. Limitation of Liability
The Provider shall not be liable for indirect, incidental, or consequential damages arising out of Service use.
Total liability shall not exceed the fees paid by the User in the preceding three months.
The Service is provided 'as is' without warranties of any kind.
9. Term and Termination
This Agreement remains in force while the User maintains an active account or subscription.
Either Party may terminate at any time by written notice or account closure.
Termination does not release the User from outstanding payment obligations.
10. Governing Law and Dispute Resolution
This Agreement is governed by the laws of the Republic of Armenia.
Disputes shall be resolved through negotiation or, failing that, in competent courts located in Yerevan.
11. Miscellaneous
The Provider may amend this Agreement by publishing updates on its website. Continued use constitutes acceptance.
If any provision is held invalid, the remainder shall remain effective.
Notices shall be delivered electronically to the User's registered email or via the Service interface.
